摘要自我国加入世贸以来，我国在经济领域对大量西方法律进行了移植到本国法律体系中，不断夯实本国法律体系内容和结构基础，以及为中国走向世界经济政治文化的大舞台做好法律和社会实践的铺垫。但是由于我国在社会主义经济建设方面相比西方主要资本主义国家来说存在着探索时间不长和经验不足，对这些移植的法律制度没有较为本土化的改革从而适应中国国情，这些相关的法律制度在经济领域还没有成熟的理论认知和理解，在实践中的形式性较为突出，不能很好的为我国社会主义经济服务。独立董事制度作为一项重要的制度，在世界现代经济史上占有重要而突出的地位，对现代公司和企业等单位的内部治理有较为重大的影响，势必对经济体的发展有较为关键的作用。对此我们要夯实基础，立足中国国情，进一步发展和完善与国际化相适应的独立董事制度，根据中国国情确定独立董事制度的内容和性质，继续服务于中国特色社会主义市场经济，为建设中国特色社会主义经济作出贡献。关键词：独立董事制度；公司治理；独立性；客观性；中国国情；ABSTRACTSinceChina'saccessiontotheWTO,alargenumberofWesternlawsintheeconomicfieldhavebeentransplantedintothecountry'slegalsystem,andthecontentandstructuralbasisofthecountry'slegalsystemhasbeencontinuouslyconsolidated,aswellaspreparingthegroundforChina'slegalandsocialpracticetowardsthestageofworldeconomyandpoliticalculture.However,duetothefactthatChina'ssocialisteconomicconstructionhasnotbeenexploredforalongtimeandisnotexperiencedenoughcomparedtothemajorcapitalistcountriesintheWest,thereisnolocalizedreformofthesetransplantedlegalsystemstoadapttoChina'snationalconditions,theserelatedlegalsystemsarenotmatureintheeconomicfieldoftheoreticalknowledgeandunderstanding,inpractice,theformalityismoreprominentandcannotservethesocialisteconomyofChinawell.Theindependentboardsystem,asanimportantsystem,occupiesanimportantandprominentplaceinthehistoryofthemodernworldeconomy,hasamoresignificantimpactontheinternalgovernanceofmoderncompaniesandenterprises,andisboundtohaveamorecrucialroleinthedevelopmentofeconomies.Inthisregard,weneedtoconsolidatethefoundation,furtherdevelopandimprovetheindependentdirectorsysteminlinewithinternationalization,determinethecontentandnatureoftheindependentdirectorsysteminaccordancewithChina'snationalconditions,continuetoservethesocialistmarketeconomywithChinesecharacteristicsandcontributetotheconstructionofthesocialisteconomywithChinesecharacteristics.Keywords:independentdirectorsystem;corporategovernance;independence;objectivity;China'snationalsituation.目录TOC\o"1-3"\h\uHYPERLINK\l"_Toc24275"一、引言PAGEREF_Toc
